Each party acknowledges that it may receive or have access to confidential information of the other party during the course of their engagement, discussions, or business dealings.

This information is identified as being proprietary and/or confidential, or the receiving Party should reasonably know to treat it as confidential.
6.1.1Exclusions
Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of confidential information; or (d) is received from a third party without restriction on disclosure.

07Employment and Internship Commitments and Information
This section governs the terms applicable to individuals engaged with CyArt Tech in an employment or internship capacity. Both full-time employees and interns are subject to these provisions in addition to any separate employment agreement or internship agreement executed between the parties.
7.1Agreement to Terms
By accepting an employment or internship position at CyArt Tech ("Company"), the employee or intern ("Personnel") enters into a legally binding agreement governed by these Terms and Conditions ("Terms"). These Terms outline the professional relationship, use of Company resources, intellectual property, and confidentiality obligations. By accepting the offer, Personnel acknowledge having read, understood, and agreed to comply with these Terms. The engagement at CyArt Tech is designed to provide hands-on professional experience and foster skill development in a real-world setting. While an internship is educational in nature, all Personnel will contribute to meaningful projects. An internship engagement does not constitute permanent employment, and any resources or benefits provided are intended to support professional growth and project involvement.
7.2Employment or Internship Structure
The engagement program is structured to provide a progressive learning experience, beginning with onboarding and culminating in active project participation.
7.2.1Duration and Nature
The engagement is a remote learning opportunity designed to provide practical experience while meeting professional or educational objectives. The standard internship tenure is 4 months, as specified in the individual Internship Agreement. The Company may extend or modify this duration based on performance, project needs, or learning goals. Employees and interns must demonstrate self-discipline, time management, and professional communication skills, maintaining regular connectivity during designated hours and meeting technical infrastructure requirements.
7.2.2Learning Phase
Upon onboarding, personnel enter a Learning Phase where daily or weekly tasks will be assigned, each with specific deadlines for submission. The first week consists of general tasks relevant to the field, after which a specific domain will be assigned and domain-related tasks will be provided. Tasks not submitted by the deadline during the Learning Phase will not be accepted afterward. The schedule during this phase is flexible, but personnel must contact their manager between 10:30 AM and 5:30 PM IST for support. If a meeting is scheduled, attendance is mandatory, and details will be shared in advance. Meetings during the Learning Phase are held as needed.
7.2.3Work Schedule
Outside the Learning Phase, employees and interns must adhere to an assigned schedule, committing to a minimum of 35 productive hours per week unless otherwise specified. Schedule deviations require advance notice to supervisors, and backup communication channels must be established for emergencies. The schedule balances professional commitments with personal or educational goals. During the Project Development Phase, the team will collectively decide the work schedule.
7.2.4Performance Expectations
Performance is evaluated based on task and project completion, quality of work, and professional conduct. All personnel must meet deadlines, provide regular updates, and produce work that meets professional standards, including thorough review and documentation. Professional interactions with team members, supervisors, and clients must reflect appropriate etiquette. Regular performance reviews will assess skills and professional growth, with constructive feedback to be incorporated. Meeting these expectations is essential for program completion and future opportunities.
7.3Intellectual Property Rights
All intellectual property created during the course of employment or internship is subject to the following provisions.
7.3.1Company Ownership
All intellectual property created during the engagement - including designs, documents, research, and other work products - is exclusively owned by CyArt Tech. This includes modifications to existing projects and extends to all rights to use, modify, or monetize the work. Employees and interns must document all creations thoroughly, and ownership persists indefinitely beyond the term of engagement.
7.3.2Pre-existing Intellectual Property
Personnel must declare any pre-existing intellectual property before incorporating it into Company projects, providing documentation of its creation and any applicable licenses. The Company receives a non-exclusive, perpetual license to use such IP within Company projects, while the individual retains ownership for other uses. Clear documentation must distinguish pre-existing IP from new work to avoid disputes.
7.3.3Documentation and Disclosure
Employees and interns must maintain detailed records of all work, including task logs, notes, and project details. Documentation must follow Company standards, including project specifications and reports, and becomes Company property. Records must clearly separate pre-existing and new work.
7.4Confidentiality Obligations
All employees and interns are subject to strict confidentiality obligations throughout and beyond the term of their engagement.
7.4.1Scope of Confidential Information
Confidential information includes all non-public data accessed or created during employment or internship, such as project details, client information, business strategies, and internal communications. This applies regardless of how the information is obtained or whether it is explicitly marked confidential.
7.4.2Duration of Confidentiality
Confidentiality obligations extend indefinitely beyond the conclusion of employment or internship. Personnel must not use or disclose confidential information for any purpose, even if it becomes publicly available through other means, as the obligation is tied to its original confidential nature.
7.4.3Security Measures
All personnel must use encryption, secure passwords, and follow Company security protocols to protect confidential information. Physical security measures include a clean desk policy and secure document disposal. Security breaches must be reported immediately, and regular audits ensure compliance.
7.4.4Financial Implications of Breach
Unauthorized disclosure causing financial loss may result in the employee or intern being held liable for damages, including lost business, legal costs, and remedial expenses. The Company may pursue legal action to recover damages based on documented losses.
7.5System Usage and Security
All employees and interns are required to maintain appropriate technical infrastructure and adhere to all system security protocols established by the Company.
7.5.1Technical Infrastructure Requirements
Personnel must maintain a workspace with a reliable internet connection (minimum 10 Mbps download, 5 Mbps upload), a computer with at least 8GB RAM, a modern multi-core processor, 256GB SSD, and 1080p display. Backup systems and supported operating systems with automatic updates are required. Mobile devices must support security protocols. The Company may audit setups and require upgrades.
7.5.2Access Control and Authentication
Employees and interns receive unique credentials protected by two-factor authentication and strong passwords (minimum 12 characters, mixed case, numbers, special characters, no reuse). Passwords rotate every 60 days, and credentials must not be shared. Compromised credentials must be reported immediately.
7.5.3Data Protection and Storage
Work data must be stored in approved storage solutions or version control systems, with local copies encrypted. Regular backups and secure deletion methods are mandatory. Personal cloud storage is prohibited.
7.5.4Security Incident Response
All personnel must report potential security incidents (e.g., malware, unauthorized access) within 30 minutes via designated channels. The response includes system isolation, documentation, and cooperation with investigations. Regular training and mock incidents ensure preparedness.
7.6Project and Work Standards
All project work and deliverables must conform to the professional standards and methodologies prescribed by the Company.
7.6.1Project Assignment
Project assignments are provided only after all Learning Phase tasks are submitted. Projects may be product-based (potentially requiring minor development) or service-based. Weekly or bi-weekly meetings will be held to discuss project updates, with mandatory attendance and prior notification of meeting details.
7.6.2Development Methodology
Employees and interns must follow the Company's Agile methodology, participating in daily stand-ups, sprint planning, and retrospectives. Sprints last two weeks, with tasks tracked daily in the project management system. Delays or blockers must be communicated immediately.
7.6.3Work Quality and Standards
All work must be clear, well-organized, and meet professional standards. Tasks and deliverables should be easy to understand, with clear explanations where needed. Work should be thoroughly reviewed to ensure accuracy and quality, with documentation to support it.
7.6.4Version Control Practices
Git is used with a specific workflow: branch names follow type/ticket-number/description (e.g., feature/CYA-123/user-authentication), commits follow conventional commits, and no direct commits to main branches are allowed. Pull requests require two reviews, and commits should be focused (under 200 lines).
7.6.5Testing Requirements
Work requires thorough review and testing to ensure it meets requirements, covering typical and edge cases. Issues must be addressed based on severity.
7.6.6Documentation Standards
Projects require clear documentation, including project details, reports, and user guides in Markdown. Architecture Decision Records are mandatory. Documentation must include troubleshooting guides and be updated with project changes.
7.6.7Quality Assurance Process
Work undergoes review and testing to ensure quality. Issues must include detailed steps for resolution. Critical issues require resolution within 24 hours. Accessibility must meet WCAG 2.1 AA standards for user-facing work.
7.6.8Project Management and Tracking
Tasks must be tracked with detailed cards, status updates, and time logs. Dependencies, risks, and resource needs must be documented. Weekly reports and metrics are required per Company templates.
7.7Termination and Refund Policy
The following terms govern the termination of an employment or internship engagement and any applicable refund considerations.
7.7.1Employment or Internship Termination Conditions
The Company may terminate an employment or internship engagement for unauthorized absence (more than 5 days), confidentiality breaches, IP violations, consistent missed deadlines, inappropriate conduct, or actions harming the Company's reputation. Performance-based termination follows warnings, but severe misconduct results in immediate termination.
7.7.2Refund Eligibility Period
Where an intern has chosen the refundable security deposit of ₹500 as their commitment confirmation, a 2% processing fee plus applicable taxes is deducted and the balance is refunded in full upon successful completion of the internship, once the project is handed over as communicated. Attempts to circumvent this requirement result in termination and loss of refund eligibility.
7.7.3Qualifying Conditions for Refund
Refunds are considered for the following qualifying circumstances: (a) Medical Emergencies - serious conditions preventing work, supported by medical reports; (b) Family Emergencies - critical situations involving immediate family, with official documentation; (c) Higher Compensation Opportunity - a full-time job offer exceeding 4 LPA with a verified offer letter. The Company will review documentation and, based on severity, may extend the engagement duration or approve early termination with a refund.
7.7.4Refund Process and Timeline
After the project is handed over, Management requires 3 business days to review and approve the refund before it is initiated. Once initiated, the refund will reflect in the intern's account within 5-7 business days. Requests based on a qualifying condition must be submitted in writing with supporting documentation, and any approved refund will be released only after the completion of the engagement duration.
7.7.5Company Discretion and Appeals
The Company has final authority on termination and refund decisions and may make exceptions at its sole discretion. One appeal per refund request is allowed within 7 days, requiring new supporting documentation. The appeal decision is final and binding.
7.8Leave Policy
The following leave entitlements apply to employees and interns during the term of their engagement.
7.8.1Casual Leave
Employees and interns are entitled to one casual leave per month, which must be requested with at least 2 days' prior notice to HR for approval. Leave requests must be submitted through proper channels with adequate justification.
7.8.2Sick Leave
For sick leave of two or more days, a medical certificate with proper dates must be submitted within 48 hours of returning to work. A single sick day may be granted without a medical certificate at the discretion of management.
7.8.3University Examination Leave
Personnel requiring leave for university examinations must submit official documentation, such as an examination schedule or university notice, at least one week in advance where possible. A copy of the exam timetable or official university correspondence must be provided. If the examination schedule includes significant gaps (e.g., 5–10 days between exams), the Company will only approve leave for the actual exam days and not for the intervening periods.
7.8.4Uncommunicated Leave
If casual or university examination leave is not communicated in advance within the time mentioned above, it will be marked as absent. Sick leave is exempt from this rule.
08Government & Sovereign Terms

8.1Sovereign Data Handling

10.2Jurisdiction
The courts of Hyderabad, Telangana, India shall have exclusive jurisdiction over any matters not subject to arbitration. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent immediate harm.
11General Provisions
The following general provisions apply to these Terms in their entirety.
11.1Entire Agreement
These Terms, together with any SOW, SLA, DPA, NDA, and GSA executed between the parties, constitute the entire agreement and supersede all prior negotiations, representations, and agreements, whether written or oral.
11.2Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
11.3Assignment
Neither party may assign these Terms without the prior written consent of the other party, except that CyArt may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any attempted assignment in violation of this provision is void.

Careers Terms & Conditions
These Terms set out what CyArt Tech expects from its employees and interns, and what you can expect from us in return. Please read them carefully before accepting a position.
01Independent Thinking & Problem-Solving
We would also like everyone to understand an important expectation.
When a task is assigned to you, the responsibility is to research, explore, analyse, and develop a solution using your own knowledge and skills.
Your Team Lead or Manager is there to guide you, not to solve every step of your assigned task for you.
Frequently relying on seniors for every small step is not an effective way to learn or work professionally. Before approaching your Team Lead or Manager:
- Research the problem independently.
- Explore possible solutions.
- Try different approaches within your technical scope.
- Refer to documentation, resources, and relevant learning materials.
- Discuss the problem with your fellow team members.
- Identify exactly where you are stuck and what you have already tried.
Once you have genuinely explored the possible solutions and still face difficulties, reach out to your Team Lead or Manager with a clear explanation of the problem.
Remember, you are part of a team, not working alone. Discuss, collaborate, exchange knowledge, and learn from one another.
02A Professional Mindset
We want everyone to understand that working in a professional environment is different from studying in college or university.
Here, learning is not limited to receiving instructions and following them step by step. You are expected to think independently, take ownership, develop problem-solving abilities, and continuously improve your skill set.
The objective is not just to complete the assigned task but to understand what you are building, why you are building it, and how you can make it better.
03Our Internship Policy: Transparency, Commitment, and Learning
At CyArt, our goal is to provide students with industry-guided internship experiences, practical exposure, and structured mentorship through remote learning.
Our mentors invest time in guiding interns, reviewing their work, and helping them develop practical skills. When an intern discontinues the program unexpectedly, it disrupts the learning process and affects the resources allocated to other participants.
To encourage responsible participation, we have been working on a clear commitment framework that outlines internship expectations, responsibilities, and withdrawal procedures.
We believe students deserve transparency. Any commitment requirements must be communicated clearly before an internship begins, including the applicable terms and conditions. Where a refundable security deposit is offered as an option, its amount, refund eligibility, and refund timeline must be explicitly disclosed.
We welcome genuine questions and constructive feedback. Our focus remains on creating a professional, transparent, and meaningful internship experience for every participant.
3.1Commitment Confirmation
Choose any one of the following:
- Notarised Affidavit: Submit a notarised affidavit using the template and sample provided
- Refundable Security Deposit: Pay a refundable security deposit of ₹500, subject to a 2% processing fee plus applicable taxes
- Letter From University: Submit a letter in the format provided by HR, signed and stamped by the HOD or Principal of your university or college on their letterhead
3.2Security Deposit Refund
If you choose the security deposit, the following terms apply:
- Amount: The deposit is ₹500. A 2% processing fee plus applicable taxes is deducted, and the balance is refunded in full upon successful completion of the internship
- Eligibility: The deposit is refunded once the project is handed over as communicated. The internship tenure is 4 months
- Review: Allow 3 business days after handover for review and approval from Management to initiate the refund
- Timeline: Once initiated, the refund will reflect in your account within 5-7 business days
Our commitment is to structured learning, clear expectations, and continuous improvement.
If you are unsure, please make sure about your decision.
